Here's how you get a document certified/authenticated for use in Iraq (as I've found):
produce the document (or request it from the state, i.e. articles of incorp., $10)
get the document notarized (not needed if from the state)
request a certificate from the state verifying notary's name and stamp, $10
send the document and certificate to the secretary of state, $5
send the document and anything from the secretary of state to the Iraq embassy in the US for their authentication, $160 for business documents
ok, now you can use it for official purposes in Iraq, like for registration with ministry of trade. Total cost is about $185 plus all the postage. Time is about two months. Fun stuff :rolleye03

Thanks, Tyred for the info. However, would you briefly explain how this would be beneficial to us? (Not trying to challenge you. Just ignorant to what this all means. :D ) What could the be used for?

well, primarily for registering a branch of your company in Iraq. That requires all authenticated documents. Why register? because you can then trade on the ISX before it opens to foreigners. And you can open a business bank account (treasury bonds, etc). And other things, but as many of us have discovered, it is a timely and costly procedure.
But also, authentication may be necessary for contracts or tenders for reconstruction projects funded by the US. Any other business ventures may require 'em.
Anyway, the procedure applies for other countries too, so it is good to know. When Castro goes and we start "investors cuba forum," we can follow the same procedures :lmao:

Good points to raise. But from what I understand you must a rep in the country to met with a lawyer to run the registration papers to the trade Minstery. Where can you get a business application anyway to register if your not in IRAQ?
What cases do you not have to report 100k into a Iraqi bank after the registration? Cause I think non-retail businesses you do not have to follow this requirement from CPA Law? :confused:
Should you be in country does your partern whom is Iraqi will own 51% percent of the stocks bought by your branch registered if accepted? :confused:

yes, you must have two people in country: one to act as your chief management official in iraq, and one to be your agent for legal services and representative for registration. If you have an LLC, the chief management official can be a member. Business registration applications are downloadable somewhere at export.gov/iraq website, but you cant just mail them in, so your representative for registration will fill it out. Im hiring an agent for legal services, who will also be the representative for registration, for $100 a month. I-ACCI set me up with one.

If your doing retail sales you have to pay 100k. Doesnt apply in most cases I presume. I've been told it will cost a total $1000 for fees and translations.

The shares will be recorded with your business name, so it is a little tricky. Any gains you make should be recorded as business capital in your annual report or taxes. If you wish to send that into your personal bank account back home, well, you'll have to follow the rules of incorperation. Or if you're the manager you can just do it. Things could get interesting come tax time.
I dont think the chief management official in iraq can manage the brokerage account unless you give permission to the bank for him to do so. Again, the shares would still be in the business name, so it would take a majority of members or the manager to justly move money to a personal account. Then again, I've never done it.

Update: the Iraq embassy in the US charges $160 for authentication of business related documents. It must be a money order, include a return envelope.
